Terms of Service for Supdrop

1. Acceptance of Terms

By accessing or using the Supdrop platform and its associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Supdrop ("we", "us", or "our").

2. Description of Services

Supdrop is a decentralized protocol designed to facilitate incentivized social media engagement on-chain. It connects projects ("Project Owners") with social media users ("Contributors") for marketing campaigns. The Services leverage blockchain technology, including smart contracts on the Supra network (and potentially Supra zkOracle in the future), for aspects like campaign funding, verification, and reward distribution.

3. User Accounts and Responsibilities

3.1. Account Registration

To use certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your account credentials, including your private wallet keys. Supdrop is not responsible for any loss or damage arising from your failure to protect your credentials or wallet.

3.2. Wallet Security

You are solely responsible for the security of your connected wallet (e.g., StarKey, WalletConnect). Supdrop does not have access to your private keys, and we cannot assist with wallet recovery or transaction reversals that are your responsibility.

3.3. Twitter Account

If you connect your Twitter account, you authorize us to access information from your Twitter profile as described in our Privacy Policy. You are responsible for complying with Twitter's Terms of Service.

4. User Conduct

You agree not to use the Services to:

  • Violate any applicable laws or regulations.
  • Engage in any fraudulent activity, including but not limited to creating fake accounts, submitting false or misleading information, or manipulating engagement metrics.
  • Infringe upon the intellectual property rights of others.
  • Distribute spam, malware, or other harmful content.
  • Harass, abuse, or harm other users.
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
  • Attempt to gain unauthorized access to the Services or their related systems or networks.
  • Engage in any activity that could damage, disable, overburden, or impair the functioning of the Supra blockchain or any other part of the Services.

5. Campaigns

5.1. For Project Owners

  • Campaign Creation: You are responsible for accurately defining campaign requirements, including budget, rewards, duration, and content guidelines (hashtags, mentions, etc.).
  • Funding: Campaigns requiring monetary rewards must be funded by you in SUPRA tokens to the designated smart contract or platform address. You are responsible for ensuring sufficient funds are available.
  • Verification: Supdrop will facilitate a verification process for contributor submissions. However, the ultimate success and impact of your campaign are not guaranteed.
  • Fees: Supdrop may charge a platform fee for services rendered, which will be clearly indicated during campaign creation or as part of the reward distribution process.

5.2. For Contributors

  • Eligibility: You must meet the eligibility criteria specified for each campaign (e.g., minimum follower count, verified Twitter account).
  • Content Creation: You agree to create and post content that adheres to the campaign requirements and these Terms. You retain ownership of your content, but you grant Project Owners and Supdrop a license to use and share your submitted content in connection with the campaign.
  • Verification and Rewards: Rewards are contingent upon successful verification of your submission according to the campaign rules and Supdrop's verification process. Verification may involve automated checks and potentially manual review or, in the future, on-chain oracle verification. Payouts for successful submissions will be processed via smart contracts or platform mechanisms.
  • No Guarantee of Rewards: Participation in a campaign does not guarantee a reward. Rewards are subject to successful verification and availability of campaign funds.

6. Intellectual Property

6.1. Supdrop IP

The Services, including the Supdrop platform, its underlying technology, branding, and content (excluding User Content), are the property of Supdrop and its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2. User Content

You retain ownership of the content you create and submit (e.g., tweets for campaigns). By submitting content, you grant Supdrop and the relevant Project Owner a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your content for the purpose of operating the Services and fulfilling campaign objectives.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES AND ANY RELIANCE UPON THEM IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPDROP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Blockchain and Smart Contract Risks

You understand and acknowledge that interacting with blockchain technology and smart contracts involves significant risks. These risks include, but are not limited to:

  • Volatility: The value of cryptocurrencies (like SUPRA tokens) can be volatile.
  • Smart Contract Bugs: Smart contracts may contain vulnerabilities or bugs that could lead to loss of funds or unintended behavior. While we strive to ensure the security of our smart contracts, we cannot guarantee they are free from errors.
  • Network Issues: The Supra blockchain (or any blockchain) may experience congestion, forks, or other issues that could impact transactions.
  • Regulatory Uncertainty: The regulatory landscape for blockchain technology and cryptocurrencies is evolving and uncertain.

You are solely responsible for understanding these risks and agree that Supdrop is not liable for any losses incurred due to these inherent risks.

10. Third-Party Services

The Services may integrate with or provide links to third-party services (e.g., Twitter, WalletConnect, project websites). Supdrop does not control and is not responsible for these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.

11. Termination

We reserve the right to suspend or terminate your access to the Services, at our sole discretion, at any time and for any reason, including if you violate these Terms, without prior notice or liability.

12. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where feasible, through other communication channels (e.g., a notice on our platform or via email). Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
